A2P 10DLC Messaging Compliance Statement

Consent and Opt-In Requirements

- Optional Consent: Before sending any A2P 10DLC messages, BeeVirtual Suite ensures that recipients have provided explicit and verifiable consent to receive messages.

Opt-Out Mechanism

We reserve the right to suspend or terminate services for any client found in violation of these content restrictions.

-No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

 

Monitoring and Reporting
- Message Monitoring: BeeVirtual Suite actively monitors message delivery rates and content to ensure compliance with A2P 10DLC regulations.

Terms & Conditions for Agreement of Services Provided

This Agreement ("Agreement") is made and entered into by and between BeeVirtual Suite, a Virtual Assistant and Social Media all-in-one solution located in the state of New York, ("Service Provider," "We," or "BeeVirtual Suite") and the undersigned client ("Client," "You," or "Your") (collectively, the "Parties"). This Agreement is effective as of the date the Client signs below and serves as the governing contract for all services provided by BeeVirtual Suite.

WHEREAS, BeeVirtual Suite is a business offering Virtual Assistant, Social Media Management, and related support services to small businesses located in the United States; and

WHEREAS, the Client desires to engage BeeVirtual Suite to provide such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:


1. Services Provided

BeeVirtual Suite agrees to provide the following services to the Client:

  • Virtual Assistant services, including administrative support, scheduling, customer service, data entry, and other related tasks.
  • Social Media Management services, including content creation, scheduling posts, social media strategy development, and account monitoring. 
  • Any additional services outlined in the Client's selected plan or custom service agreement.

The scope of services provided will be discussed and agreed upon in the Client's specific Service Plan.

 

2. Term and Termination

  • This Agreement shall commence on the date it is signed by the Client and shall continue on a month-to-month basis unless otherwise terminated by either Party.
  • Either Party may terminate this Agreement by providing 30 days' written notice to the other Party.
  • BeeVirtual Suite reserves the right to terminate this Agreement immediately for cause if the Client breaches any of the terms outlined herein.

3. Payment Terms

  • The Client agrees to pay BeeVirtual Suite the agreed-upon service fees as outlined in the Service Plan. Payments shall be made on a monthly basis, or according to the specific payment schedule outlined.
  • All payments are due within 15 days of the invoice date. If payment is not received by the due date, BeeVirtual Suite reserves the right to suspend services until the overdue balance is paid in full.
  • In the event of non-payment, the Client will be responsible for all reasonable collection costs, including legal fees.

4. Client Responsibilities

  • The Client agrees to provide all necessary information, access, and resources required for BeeVirtual Suite to perform the services outlined in this Agreement.
  • The Client agrees to communicate promptly and in a professional manner, and to ensure that all materials, content, and information shared with BeeVirtual Suite are accurate and legal.
  • The Client agrees to cooperate with BeeVirtual Suite in a timely manner to facilitate the delivery of services.

 

5. Confidentiality

  • BeeVirtual Suite agrees to maintain the confidentiality of all proprietary information, data, and materials provided by the Client. The Client’s sensitive information will not be disclosed to any third party without the Client’s prior written consent.
  • The Client acknowledges that BeeVirtual Suite may be required to disclose certain information if legally compelled to do so under applicable laws.

6. Intellectual Property

  • Any content created by BeeVirtual Suite in the course of providing services, including but not limited to social media posts, graphics, and strategies, remains the intellectual property of BeeVirtual Suite until payment is received in full.
  • Upon receipt of full payment, the Client will obtain ownership rights to the deliverables created by BeeVirtual Suite.

7. Limitation of Liability

  • BeeVirtual Suite will not be liable for any indirect, incidental, special, or consequential damages arising from the use of services, even if BeeVirtual Suite has been advised of the possibility of such damages.
  • The maximum liability of BeeVirtual Suite under this Agreement will not exceed the total fees paid by the Client in the six months immediately preceding the date of the claim.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding under this Agreement shall be brought exclusively in the courts located in New York, New York.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, or representations, whether written or oral, concerning the subject matter hereof. Any amendments or modifications must be in writing and signed by both Parties.

By accessing or using our virtual suite of services, you agree to be bound by these Terms of Conditions. If you disagree with any part of the terms, then you may not access the services. The Client acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Declaration of Agreement with BeeVirtual Suite.
